These Terms and Conditions ("Agreement") govern all projects, services, and collaborations undertaken with Source Agency, a company incorporated under the laws of the United Kingdom.

By signing a proposal, NDA, or contract with Source Agency, you ("the Client", “Freelancer”, or “Contractor”) agree to the following:

1. Scope of Work
All work to be completed by Source Agency will be outlined in a separate project proposal or contract. Work outside the agreed scope will require a separate quote and written approval.

2. Payment Terms
- Invoices are issued as per the agreed proposal (e.g. 50% upfront, 50% on delivery).

- Standard payment terms are 14 days from invoice date unless otherwise stated.

- Late payments may incur a 5% late fee per calendar month.

- All prices are in GBP (£) and exclusive of VAT unless stated.

3. Intellectual Property (IP)

- All IP created by Source Agency remains the property of Source Agency until full payment has been received.

- Upon final payment, IP rights will transfer to the Client only for the final deliverables and as agreed in writing.

- Source Agency retains the right to showcase completed work for portfolio and marketing purposes,
unless explicitly stated otherwise.

4. Confidentiality
- All parties must sign an NDA prior to beginning work. All proprietary or sensitive information disclosed by either party must be treated as confidential. This includes client data, creative materials, strategy, and pricing.

5. Revisions & FeedbackRevisions & Feedback
- Each project includes up to 2 rounds of revisions unless stated otherwise.
- Additional rounds or scope changes will be billed at an hourly or fixed rate as agreed.
- Feedback must be provided within 5 working days to avoid project delays.

6. Timeline & Delays
- Agreed timelines depend on timely feedback, asset delivery, and communication from the
Client.
- If the Client causes a delay of over 14 calendar days, the project may be paused and
rescheduled, with possible rebooking fees.

7. Termination
- Either party may terminate the engagement with 14 days' written notice. In such cases: Work completed up to the termination date will be billed.
- Any IP rights remain with Source Agency until payment is made in full.
- Deposits are non-refundable once work has commenced.

8. Use of Work
- The Client agrees not to reuse, resell, or distribute any draft work without written consent.
- Draft concepts, mock-ups, and early-stage ideas are the property of Source Agency.

9. Legal Stuff
- These T&Cs are governed by the laws of England and Wales.
- Any disputes shall be resolved under the exclusive jurisdiction of the English courts.
- If any part of this Agreement is deemed unenforceable, the remainder shall remain in full
effect.
